END USER LICENSING

Each Silva Elm Ltd software product is provided as a Free Download in the form of a Software Installation Component.

By running the Software Installation Component on your computer, the software product (hereinafter "Software") is installed.

Each Software installation is associated with a specific End User License Agreement ("EULA").

An EVALUATION LICENSE: Specifies the terms and conditions that must be agreed during Software installation on your computer except when the Software is labelled as Freeware.
A FREEWARE LICENSE: Specifies the terms and conditions that must be agreed during Software installation on your computer when the Software is labelled as Freeware.
A PERSONAL EDITION LICENSE: Specifies the terms and conditions that must be agreed prior to entry of your Personal Edition License Key to your computer.
A PROFESSIONAL EDITION LICENSE: Specifies the terms and conditions that must be agreed prior to entry of your Professional Edition License Key to your computer.

Both the PERSONAL EDITION LICENSE and PROFESSIONAL EDITION LICENSE (herinafter "EDITION LICENSE" unless otherwise stated) are purchasable License Agreements and are specifically chosen by you to select the features and capabilities required of your Software installation.

License Purchase

You should only proceed to purchase an EDITION LICENSE if you are completely satisfied with the Software and that it is fit for your purposes.

IT IS IMPORTANT THAT YOU CAREFULLY READ THE TERMS AND CONDITIONS OF THE LICENSING AGREEMENT THAT APPLIES TO YOUR SELECTED PRODUCT EDITION PRIOR TO PURCHASE.

If you require to run the Software on a single computer, then you should purchase an EDITION LICENSE specifying usage on one (1) computer.

If you require to run the Software on multiple computers then you should purchase an EDITION LICENSE specifying the number of computers required.

A single License Key is supplied on purchase.

IT IS OF UTMOST IMPORTANCE THAT YOU RECORD THE DETAILS OF THIS LICENSE KEY FOR FUTURE REFERENCE.

The License Key is specific to your Edition License purchase and is non-transferable between Edition License variants.

License Key

The License Key is entered to each computer via the licensing section of your Software.

YOU WILL BE REQUIRED TO AGREE TO THE TERMS AND CONDITIONS OF THE EDITION LICENSE AGREEMENT prior to submittal of the License Key into your computer.

On completion of License Key entry to your computer a Registration Code is displayed.

Registration Code

The Registration Code is specific to your computer.

IT IS RECOMMENDED THAT YOU RECORD THIS REGISTRATION CODE AND KEEP IT FOR FUTURE REFERENCE.

The Registration Code is used in conjunction with your License Key for Product Registration.

Product Registration

Product Registration is the supply of your computer Registration Code and License Key to Silva Elm for the purpose of obtaining a Product Key for your computer.

If you have purchased an Edition License for multiple computers, then Product Registration is required for each computer.

The procedure for Product Registration is found within the Help support of the Software.

Product Key

The full capabilities of your Software according to your purchased EDITION LICENSE are enabled following successful entry of the Product Key into the Software on your computer.

The Product Key must be entered on the computer from which you obtained the Registration Code.

Full details of the procedure for Product Key entry are provided within the Help support of the Software.

PERSONAL EDITION LICENSE AGREEMENT

This is a legal agreement between you (individual or entity) and Silva Elm Ltd. By licensing this software ("Software"), you are agreeing to be bound by the terms of this agreement.

LICENSE TERM

This License is effective until terminated. You may terminate this license at any time by destroying all copies of Software. This License will also terminate if you fail to comply with any term or condition of this Agreement. Upon such termination, you agree to destroy all copies of the Software: You will not be entitled to a refund.

All disclaimers of warranties and limitation of liability set forth in this Agreement shall survive any termination of this Agreement.

LICENSE GRANT

This is a license, not a sales agreement, between you, the end user, and Silva Elm Ltd.

If you purchased the License to use the Software on a single computer, Silva Elm Ltd grants to you a non-exclusive, non-transferable license to have installed and subsequently use the Software on a single computer in accord with the terms and conditions set forth in this License Agreement.

If you purchased the License to use the Software on multiple computers (you specified multiple computers at the time of License purchase), Silva Elm Ltd grants to you a non-exclusive, non-transferable license to have installed and subsequently use the Software, for internal purposes only, on the number of computers authorized at the time of purchase in accord with the terms and conditions set forth in this License Agreement.

The Software is considered "installed" on a computer when it has been loaded into the permanent memory (hard disk or other device) of that computer.

The Software is considered in "use" on a computer when it is running within a single user (logon) session.

This License Agreement does not grant concurrent use of the Software within multiple user (logon) sessions running on a single computer.

COPYRIGHT

The Software is owned by Silva Elm Ltd. and is protected by International copyright laws and treaty provisions. All rights, title, interest, and all copyright to the Software, documentation, and any copy made by you remain the property of Silva Elm Ltd. Unauthorized copying of the software and/or the documentation, or failure to comply with the above restrictions, will result in immediate and automatic termination of this license and will make legal remedies available to Silva Elm Ltd.

You may not: use, copy, rent, lease or otherwise transfer the Software, in whole or in part, except as expressly provided for in this license. You agree not to modify or adapt the Software, in whole or in part, including but not limited to, translating or creating derivative works, disassembling or reverse compiling for the purpose of reverse engineering the Software.

You may not publish evaluations or performance benchmarks involving this Software without written permission from Silva Elm Ltd.

If any of these conditions are breached, such breach shall constitute an unlawful use of the Software, and you shall be prosecuted to the full extent of the law. Furthermore, you shall be liable to Silva Elm Ltd for all damages caused by such breach and unlawful use of the Software, including legal fees and costs incurred in any action, lawsuit or claim brought or filed to redress the breach of this agreement.

LIMITATIONS

Your only form of compensation under this License Agreement shall be repair or replacement as provided in the warranty. The maximum liability for any claim by you or anyone claiming through or on behalf of you arising out of your purchase shall never exceed the actual amount received from you by Silva Elm Ltd for the EDITION LICENSE. Silva Elm Ltd is not liable for any direct, incidental, collateral, exemplary, consequential or special damages or losses that may result from the use or installation of Silva Elm Ltd products.

WARRANTY

SILVA ELM LTD LICENSES THE SOFTWARE TO THE LICENSEE "AS IS" WITHOUT WARRANTIES EITHER EXPRESS OR IMPLIED INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. SILVA ELM LTD OR ITS DIRECT OR INDIRECT SUPPLIERS SHALL HAVE NO LIABILITY OF ANY TYPE WHATSOEVER TO THE LICENSEE ARISING FROM OR RELATED TO THE LICENSEE INSTALLING OR SUBSEQUENTLY USING THE SOFTWARE. The Software is provided as a Free Download and includes an automatic non-exclusive Evaluation license with no warranty.

This is an Evaluation License between you, the end user, and Silva Elm Ltd. Silva Elm Ltd grants to you a non-exclusive, non-transferable license to use the copy of the Software on the computer in accord with the terms set forth in this License Agreement.

The Evaluation License automatically grants 30 day usage of the Software as a full feature package.

On 30 day expiry, the Software will automatically grant continued usage with Reader Only functionality. You are free to continue to use the Software until License termination.

COPYRIGHT

You may: copy or otherwise transfer the Software Installation Component in its original form as supplied from Silva Elm Ltd to additional machines for the purposes of installing further copies of the Software within the terms and conditions of the EVALUATION LICENSE.

You may not: publish evaluations or performance benchmarks involving this Software without written permission from Silva Elm Ltd.

You may not: modify or adapt the Software Installation Component, in whole or in part, including but not limited to, altering the content and operation of the resulting Software installation.

LIMITATIONS

This Software is offered free of charge on an "as is" basis. Silva Elm Ltd has no specific obligation to provide technical support of this Software. You may submit suggestions or questions to . Silva Elm Ltd has no specific obligation to acknowledge or address these questions.

WARRANTY
